PRIMARY TERMS AND CONDITIONS

These terms and conditions (the "Terms and Conditions") govern the use of 403auction.com and any subdomains it may use such as bid.403auction.com (the "Site"). This Site is owned and operated by Principal Liquidators Inc. (“PLI”). This Site is an auction website.

By using this Site, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.

THESE TERMS AND CONDITIONS CONTAIN A DISPUTE RESOLUTION CLAUSE THAT IMPACTS YOUR RIGHTS ABOUT HOW TO RESOLVE DISPUTES. PLEASE READ IT CAREFULLY.

1.      Definitions

a.       “BIDS” - A bid is a legally binding offer submitted by a user to purchase an item listed in an online auction. It signifies the user's intent to enter into a contract to purchase the item at the specified amount, provided they are not outbid, and is subject to the individual auction’s terms and conditions and the Site’s terms and conditions.

b.      “LOT(S)” – A lot refers to a listing on the Site identified by a unique item number. Lots may consist of individual items or grouped items offered for bidding, or may be informational in nature, containing important details relevant to the auction. Each lot is treated as a separate entry and is subject to the Site’s terms and conditions.

c.       “DEPOSIT” – A deposit is a sum of money required by PLI as a condition of participation in an auction. It may be used to verify a bidder’s identity, demonstrate intent to bid, or secure performance of obligations. Deposits may be refundable or non-refundable, subject to the terms and conditions of the auction and at PLI’s sole discretion. Any outstanding balances or fees owed by the bidder may be deducted from the deposit amount prior to any refund being issued.

d.      “WON ITEMS” – Won Items are lots where a registered bidder was the highest bidder at the exact time the lot closed, and where the final bid met or exceeded any applicable reserve price. Winning a lot constitutes a binding obligation to complete the purchase in accordance with the auction’s terms and conditions.

2.      Intellectual Property

a.       All content published and made available on our Site is the property of Principal Liquidators Inc. and the Site's creators. This includes, but is not limited to images, text, logos, documents, downloadable files and anything that contributes to the composition of our Site.

3.      Age Restrictions

a.       The minimum age to use our Site is 18 years old. By using this Site, users agree that they are over 18 years old. We do not assume any legal responsibility for false statements about age.

4.      Additional Terms per Individual Auction

a.       All auctions have their own individual terms and conditions. By bidding in an auction, you agree to all the terms and conditions of that individual auction. The terms and conditions of an individual auction take precedence over any terms outlined in the Site’s primary terms and conditions.

b.      You also agree to any information enclosed in the “information lots” in the auction. The information lots have the following lot numbers: 1 & 1A-1Z (1A,1B,1C…).

5.      Registration

a.       PLI’s auctions are open to local Ontario residents only.

b.      PLI reserves the right, at its sole discretion, to refuse membership to any account, without obligation to provide notice or justification.

c.       A valid Ontario-issued credit card is required to complete registration. At its sole discretion, PLI may allow a bidder to register without an Ontario credit card, subject to a deposit amount determined by PLI.

d.      At the time of registration, PLI collects information to verify your identity before permitting you to bid. This includes, but is not limited to, your name, contact information, and credit card details to confirm that you are a qualified buyer. By registering, you agree to provide complete and accurate information.

e.       You acknowledge and consent that any information you submit to the Site—whether during registration, bidding, payment, communication, or account activity—may be used by PLI to verify your identity, assess risk, determine your eligibility to participate in auctions, enforce compliance with the Site’s terms and conditions, detect and prevent fraud or other prohibited conduct, and deliver relevant advertising, promotions, and marketing communications related to PLI services or auctions. PLI reserves the right to use this information internally or in coordination with trusted service providers, in accordance with applicable privacy laws and the Site’s Privacy Policy.

6.      Accounts
When you create an account on our Site, you agree to the following:

a.       You are solely responsible for your account and the security of any passwords or information associated with it. You must ensure that only you have access to and use your account. Bids placed through your account are considered final and will not be revoked on the basis that a third party, including but not limited to a child, submitted the bid.

b.      All personal information you provide to us through your account is up to date, accurate, and truthful and that you will update your personal information if it changes.

c.       PLI reserves the right to suspend any account at its sole discretion, for any reason, including but not limited to suspicious activity, violation of the terms and conditions, outstanding account balances, or any other reason it deems appropriate. PLI is not obligated to provide notice or justification for the suspension. PLI shall not be held liable for any losses or damages resulting from the suspension of your account.

                                                              i.      If your account is suspended, invoices and any other information will not be able to be accessed.

d.      PLI reserves the right to require a deposit from any user as a condition of continued participation in auctions. The deposit amount will be determined at PLI’s sole discretion and may be requested due to, but not limited to, insufficient bidding history, risk assessment results, or any other reason PLI deems appropriate. Failure to provide a requested deposit may result in limited account access or suspension from bidding activity.

e.       If your account is suspended or terminated for any reason while you have an outstanding auction credit balance, you will have a maximum of 30 calendar days from the date of suspension to formally request a refund of the auction credit. Refund requests must be submitted in writing via email to the address provided by PLI. If no request is received within this 30-day period, the credit shall be deemed abandoned, and no further claim or compensation will be considered.

f.        Users are strictly prohibited from creating or maintaining multiple accounts on PLI’s platform unless explicit written permission has been granted by PLI. Unauthorized duplication of accounts may result in immediate suspension or termination of all related accounts, as well as forfeiture of any active bids, auction credits, or future bidding privileges.

g.      All accounts registered with PLI must have a clearly identified individual responsible for their use and activity. Accounts may not be opened or operated solely in the name of a company, corporation, or other entity without an associated individual who accepts full responsibility.

                                                              i.      The named individual must be authorized to act on behalf of the entity and will be held personally accountable for compliance with all Terms & Conditions, including payment, conduct, and pickup obligations. PLI reserves the right to verify the identity and authority of any account holder and to suspend or terminate accounts that fail to meet this requirement.

7.      Promotional Communications

a.       By registering for an auction, you consent to receive email and text message communications related to that auction and any directly associated events (e.g., second or third parts of the same sale). These communications are considered essential to your participation and cannot be unsubscribed from.

b.      You may opt out of general promotional emails or text messages unrelated to specific auctions by using the "Unsubscribe" link included in the email or replying "STOP" to any promotional text message. If no unsubscribe option is provided, the communication is deemed essential and not subject to opt-out.

c.       Standard messaging rates may apply for text messages, depending on your mobile carrier and plan.

d.      You can modify which general emails you wish to receive in your account settings (such as outbid notifications).

8.      Products & Product Descriptions
These Terms and Conditions govern the sale of goods available on our Site.

a.       AS-IS CONDITION: All items are sold strictly on an “as is, where is” basis, with all faults, defects, and imperfections, whether obvious or latent. No warranties or guarantees, express or implied, are made by PLI or it’s consignors regarding the condition, functionality, or completeness of any item.

                                                              i.      PLI may provide a subjective assessment or general statement of condition based on a visual inspection and good faith evaluation at the time of listing. These statements are offered solely as a courtesy to buyers and are not intended to be definitive or exhaustive. Such condition statements do not constitute a warranty or representation of fact, and bidders are advised not to rely solely on them in making purchasing decisions.

b.      INSPECTION & DUE DILIGENCE: For the majority of items, in-person preview is available by appointment. Bidders may contact PLI to arrange a preview during the designated period. In cases where preview is not available, due to the nature of the sale or item location, bidders must rely on the photographs and descriptions provided. These materials are offered as a courtesy only and are not guaranteed to be complete, accurate, or sufficient for evaluation. All bidders are responsible for performing their own due diligence before placing a bid. PLI makes no warranties or representations regarding the completeness or accuracy of any preview materials, and the inability to preview an item shall not be grounds for return, cancellation, or claim.

c.       DESCRIPTIONS AND PHOTOGRAPHS: PLI makes reasonable efforts to provide accurate titles, descriptions, and photographs for all items offered for sale. However, all such information is provided strictly as a courtesy and should be considered informational only. PLI does not warrant, guarantee, or represent that any description or photograph is complete, current, or free from error. Photographs may not reveal all defects, variations, or missing components, and color or appearance may vary due to lighting or device screens. Descriptions may contain errors, omissions, or misstatements and should not be solely relied upon when determining an item’s condition, authenticity, completeness, or suitability for use. Bidders accept full responsibility for evaluating all available information and agree not to rely on any written or photographic materials as a basis for legal claim, adjustment, or dispute.

d.      PRICING & VALUATION: Any reference to MSRP (Manufacturer’s Suggested Retail Price) is provided for informational purposes only and should not be interpreted as an indication of actual retail value, resale value, or market worth. MSRP is often higher than prevailing market prices, particularly for previously owned, discontinued, surplus, or liquidation items. Bidders are solely responsible for conducting independent research to determine an item’s value prior to bidding. PLI makes no guarantee or representation regarding the accuracy, current relevance, or applicability of any stated pricing information.

e.       JEWELRY APPRAISALS: Any appraisals provided for jewelry items are submitted to PLI by the consignors and are typically insurance value appraisals. These appraisals often reflect estimated replacement costs and are generally higher than actual retail or resale values. PLI does not independently verify, authenticate, or endorse the accuracy or methodology of any appraisal. Appraisals are offered strictly as-is, for reference only, and bidders are encouraged to seek independent valuation when necessary.

f.        CLAIMS: No claims of any kind will be accepted or entertained regarding goods purchased at auction. All bidders acknowledge and agree that all items are sold strictly “as is, where is,” with all faults, known and unknown. This includes, without limitation, any defects in condition, completeness, appearance, function, or suitability for use. Buyers assume full responsibility for inspecting and assessing the condition of items prior to bidding and/or pickup. By placing a bid, you waive any and all rights to dispute, claim, or seek compensation for any item post-sale.

g.      ADDITIONS AND DELETIONS: PLI reserves the right, at its sole discretion, to add or remove lots and/or individual items from any auction at any time, including during the active bidding period. This right may be exercised for any reason, including but not limited to item unavailability, listing errors, consignor requests, or logistical concerns. Bidders acknowledge that auction inventory is subject to change and that no guarantees are made regarding the final composition of any sale. In the event that a lot or item is removed from the auction—whether before or after bidding has commenced—such removal shall not entitle the bidder to cancel, retract, or void any other bids or items they have won in the same sale. All other successful bids remain binding and enforceable in accordance with these Terms & Conditions.

h.      CATALOG ERRORS AND OMISSIONS: While PLI makes every effort to ensure the accuracy of item descriptions and photographs, discrepancies may occur. In the event that the description does not match the image, the written description shall take precedence. All items are sold strictly “as is, where is,” with all faults, and no guarantees are made as to accuracy, completeness, or condition. If an item is listed in error or cannot be located during pickup for any reason, the bidder agrees that their sole and exclusive remedy shall be a full auction credit for the specific item in question. No monetary refunds will be issued unless otherwise stated, and no other items on the same invoice may be cancelled, refunded, or disputed as a result. Items approved for auction credit must be returned at the buyer’s expense, and all items must be returned in the same condition in which they were received. It is the buyer’s sole responsibility to thoroughly check all items before leaving the parking lot. Failure to do so waives any claim related to condition, completeness, or discrepancies.

9.      Auction Mechanics

a.       RESERVES: Most items are sold without reserve; however, in rare instances, a lot may be listed with a reserve price—the minimum amount that must be met for the item to be awarded to a winning bidder. If a reserve price applies, it will be clearly disclosed within the lot description. Buyers acknowledge that for any lot sold with a reserve, the item will not be awarded unless the final bid meets or exceeds the stated reserve.

b.      AUCTION RECORDS: In the event of any dispute or discrepancy arising during or after the auction, the buyer agrees to accept as conclusive and binding the records maintained by PLI. This includes, but is not limited to, bid history, timestamps, auction results, payment confirmations, and communication logs. PLI’s records shall serve as the final authority in resolving any conflict.

c.       SOFT CLOSE: PLI auctions operate with a soft close mechanism to ensure fair bidding. Lots are scheduled to close at regularly timed intervals; however, if a bid is placed within the final 60 seconds of a lot’s closing time, the lot will remain open for an additional 4 minutes. This process will continue—repeating each time a new bid is placed in the final minute—until no further bids are received. This policy is intended to prevent last-second “sniping” and allow all participants a fair opportunity to place competing bids.

10.  Payments

a.       Payment for won items must be made at the time of pickup using Cash, Debit, Visa, or Mastercard. The physical card must be present; PLI does not accept manual, online, or phone-based card payments for won items. Your credit card will not be charged at the time of winning. However, if you fail to pick up your won items within the posted removal period, PLI reserves the right to charge your credit card in accordance with the fee structure outlined in these Terms and Conditions.

b.      PLI does not accept cheques, e-transfers, money orders, bank drafts, cryptocurrencies, certified cheques, or any other form of payment not explicitly listed as accepted. In the rare instance that PLI agrees to accept an alternative form of payment, such as an e-transfer, all other terms and conditions of the auction and sale remain fully binding and enforceable.

c.       In the event that your account has any outstanding fees or balances, PLI reserves the right to charge your credit card manually or through online processing, in accordance with the fee structure outlined in these Terms and Conditions.

d.      PLI reserves the right, at its sole discretion, to require payment by wire transfer for any invoice that exceeds a specified dollar amount or that includes the purchase of a vehicle, trailer, heavy equipment, or similarly regulated item. In such cases, other payment methods—including credit cards, debit cards, cash, or auction credit—will not be accepted, regardless of what may be listed elsewhere in the auction terms.

                                                              i.      If wire transfer is required, the buyer will be notified by PLI and must complete the transfer within the stated payment deadline in order to retain ownership of the items. Failure to comply may result in the cancellation of the sale, forfeiture of the item, and/or account suspension in accordance with these Terms & Conditions.

11.  Credit Terms and Payment Authorization

a.       By registering to bid, you acknowledge that PLI is extending conditional credit to you for the purpose of participating in its auctions. This extension of credit is provided with the strict understanding that you will pay for and pick up all items won within the specified payment terms and pickup windows outlined in each auction listing.

b.      Failure to fulfill these obligations—including failure to pay, pick up items on time, or comply with other stated terms—constitutes a breach of the credit agreement. Such a breach may result in collection actions, including but not limited to negative credit reporting, late fees, restocking fees, and legal or administrative recovery processes.

c.       By registering and bidding, you authorize PLI to charge the credit card you provided at registration, in accordance with the payment terms detailed in the applicable auction. This includes authorization for full payment of any invoices for items you have won, along with applicable taxes, fees, or penalties as outlined in these Terms & Conditions.

d.      PLI incurs real and unrecoverable costs when a buyer fails to meet their payment or pickup obligations, and it will enforce the terms of this agreement accordingly. All bids placed are final, irrevocable, and constitute legally binding agreements between the buyer and the seller. Bid retractions are not permitted under any circumstances.

12.  Pickup / Removal

a.       LOADING DOOR: Unless expressly stated otherwise in the specific terms and conditions of an individual auction, all purchased items will be made available for pickup at a designated loading door, which may be at ground level or dock height. Buyers are solely responsible for the removal and loading of their items from this location.

b.      NO ASSISTANCE WITH LOADING: Please note that PLI—including its staff, agents, and representatives—as well as the consignor, property owner, or any other party responsible for the pickup location, do not provide any assistance with loading, lifting, or securing items. No equipment, tools, or labor will be supplied. Buyers must bring their own labor, equipment, and materials as necessary to safely and efficiently remove their purchases.

                                                              i.      In the unlikely event that PLI or any associated party provides voluntary assistance with loading or handling, such assistance is offered strictly as a courtesy and entirely at the buyer’s risk. PLI and all related parties expressly disclaim any liability for injury, damage, or loss arising from or related to such assistance, regardless of cause or circumstance. If a buyer designates an agent, representative, or third-party carrier to pick up items on their behalf, the buyer remains fully responsible for ensuring compliance with all removal requirements and assumes all associated risks and liabilities. Neither PLI nor any other involved party shall be held responsible for the actions of any third party acting on the buyer’s behalf.

c.       PICKUP LIABILITY RELEASE: By entering any property associated with PLI—including but not limited to PLI’s facilities, client sites, offsite locations, warehouses, or temporary auction pickup areas—you do so entirely at your own risk. PLI, the consignor, the property owner, and all affiliated or associated parties disclaim all liability for any personal injury, illness, death, property damage, loss, or theft, regardless of cause, that may occur while on such property or as a result of any activity related to auction participation.
This disclaimer extends to, but is not limited to, risks arising from:

                                                              i.      Loading, unloading, or removing items

                                                            ii.      Handling or transporting purchased items

                                                          iii.      Use or misuse of any item purchased from the auction

                                                          iv.      Hazards on premises, including vehicles, equipment, environmental conditions, or other people

                                                            v.      Acts of negligence (other than willful misconduct) by PLI or third parties

                                                          vi.      Buyers, visitors, and their agents assume full responsibility for their own safety, conduct, and belongings, and agree to indemnify and hold harmless PLI and its affiliates from any claims, damages, or losses arising from their presence on-site or their use of purchased goods.

d.      ITEMS SOLD IN PLACE: In the event that an item is sold in place and the listing specifies that the buyer is responsible for removal, the buyer must remove the item in a safe, clean, and workmanlike manner. This includes complying with all applicable safety standards, regulations, and site-specific requirements. All plumbing connections must be properly shut off prior to disconnection, and any electrical wiring must be safely disconnected and securely capped in accordance with standard electrical practices. Buyers are required to bring all necessary tools, equipment, and labor to safely disconnect and remove any items purchased. PLI, the consignor, property owner, or any affiliated party will not provide tools, equipment, supervision, or assistance, and accept no liability for any damage, injury, or loss arising from the disconnection or removal process. The buyer assumes full responsibility for any damage caused to the premises or surrounding equipment during removal.

e.       REVIEWING PURCHASES: It is the sole responsibility of the buyer to review their invoice following the conclusion of each auction to determine whether they have won any items. Invoices are available via the buyer’s account dashboard and reminders may be sent by email or text. PLI assumes no responsibility for any missed communication, undeliverable communication, failure to review invoices, or missed pickups resulting from such oversight.

f.        PICKUP TIMES: All items must be picked up within the pickup times specified in the individual auction listing. Pickup dates, times, and any appointment requirements are posted within each auction’s pickup information and are considered binding terms of sale. Failure to collect items within the specified timeframe will result in the application of restocking fees, reinstatement fees, or any other fees stated in the Fee Structure Terms of this Agreement. There will be no pickup extensions granted under any circumstances. PLI is unable to accommodate any pickups outside of the specified timeframe for any reason.

g.      OVERLAPPING PICKUPS: In instances where multiple PLI auctions share the same or overlapping pickup windows, buyers should not assume that items from separate auctions can be picked up together unless explicitly stated in the auction information. Separate appointments or arrangements will be required, unless PLI states or agrees to combine auction pickups.

h.      APPOINTMENTS: If an auction listing states that pickup is by appointment only, the buyer is required to book an appointment through the website. A booking link will be available when viewing your invoice.

                                                              i.      Absolutely no pickups will be accepted without a confirmed appointment. Arriving early, late, or without an appointment will not be accommodated. In such cases, the buyer will be required to book the next available appointment and return at that scheduled time.

                                                            ii.      Appointments are available on a first-come, first-booked basis. PLI cannot and will not “squeeze in” buyers if their preferred time slots are unavailable due to late booking. If you require a specific time, it is your responsibility to book early—appointment slots typically open at 10:00 AM (Please see the specific auctions information for the opening time).

                                                          iii.      At the time of pickup, buyers must present either a printed appointment confirmation or have it readily available on their phone. If you are not listed on the appointment schedule and cannot provide proof of appointment, you will be required to book a valid time slot and return accordingly.

i.        MISPLACED ITEMS: While PLI takes all reasonable steps to ensure the availability and condition of auction items, it is acknowledged that in large-scale online sales, especially those where PLI does not have exclusive physical control over the inventory, items may occasionally be missing, misplaced, or damaged prior to pickup. In the event that an item you have successfully won cannot be located or is determined to be damaged beyond saleable condition, your sole and exclusive remedy shall be a full refund for that specific item only. No additional or consequential costs, damages, or expenses—whether direct, indirect, incidental, or otherwise—may be claimed in relation to the missing or damaged item. No other items on the same invoice may be cancelled, refunded, or disputed as a result of a missing or damaged item. This policy applies without exception, regardless of the value or importance of the missing item in relation to your total purchase.

j.        DELEGATED PICKUP RESPONSIBILITY: If you choose to designate another individual to pick up items on your behalf, that individual is considered your authorized agent, and their actions are fully attributable to you as the registered buyer.

k.      WEATHER EVENTS:

                                                              i.      Pickup schedules will not be delayed or extended due to weather conditions, except at the sole discretion of PLI. While we recognize that adverse weather (including but not limited to snow, ice, flooding, or extreme temperatures) may cause inconvenience or travel difficulties, all buyers remain fully responsible for picking up their items within the posted timeframe, unless PLI officially announces otherwise.

                                                            ii.      In rare circumstances where PLI determines that a weather-related event creates unsafe or impractical pickup conditions at a designated location, updated pickup instructions or rescheduled times may be issued by PLI only. Buyers are responsible for monitoring all official communications—including emails, text alerts, and auction listings—for such updates.

                                                          iii.      PLI will not honor late pickups, cancellations, or refund requests based on weather-related travel issues in a buyer's local area or inability to attend. Standard Terms & Conditions, including restocking fees or forfeiture policies, will continue to apply unless otherwise stated in writing by PLI.

13.  Reviewing Your Bids

a.       During an auction, you may review the status of your bids at any time through your account on the Site.

b.      No bids can be withdrawn once placed, under any circumstances—including accidental bids, bidding on the wrong item, or misinterpretation of item details. Bidders are responsible for ensuring they have selected the correct item before clicking “Bid.”

c.       All items are sold “as is, where is,” with all faults, and PLI makes no warranties or guarantees regarding the condition, functionality, or fitness for any particular purpose, despite anything conveyed in the item description, whether stated directly or implied indirectly.

d.      It is the bidder’s responsibility to perform due diligence, and we strongly recommend attending available previews prior to bidding, if offered.

e.       All bids placed are legally binding and enforceable contracts under the laws of Ontario, Canada.

14.  Fee Structure

a.       REGISTRATION FEE: There is no fee to register for our auctions.

b.      BID AMOUNT: The Bid Amount is the dollar value a bidder submits as their offer to purchase an item, excluding any additional charges such as the buyer’s premium, taxes (e.g., HST), or other applicable fees. It represents the base amount the bidder is willing to pay for the lot itself.

c.       BUYERS PREMIUM: There is a 15% buyers’ premium, charged on all items. For example: if an item sells for $100 the items price would be $115.

d.      RESTOCKING FEE: If you fail to pick up your items during the posted removal period, a 25% restocking fee of the full invoice price (or $20, whichever is greater) will be due. PLI may charge this fee to your credit card or request payment via e-transfer. Your items will not be held, and your account will be suspended.

e.       DELINQUENT RESTOCKING FEES: If PLI is unable to successfully charge the applicable restocking fee, the unpaid amount may be reported to a credit bureau or collection agency at PLI’s discretion. To be considered for account reinstatement after such a default, you will be required to pay a $50 administrative fee (before tax) in addition to the full outstanding restocking fee. Payment of these fees does not guarantee reinstatement; reinstatement remains subject to mutual agreement between you and PLI, and at PLI’s sole discretion.

f.        DISPOSAL FEE – Abandoned Won Items
If you fail to pick up your won items within the posted removal period, and such items include pallets, large equipment, bulk materials, furniture, items over 2 cubic feet in size, items over 50lbs in weight, or any items that may result in a financial loss, storage issue, or additional handling burden to PLI, you will be responsible for any associated disposal or removal fees. There is a minimum disposal charge of $100 per pallet left behind. Additional fees may apply based on the size, weight, or nature of the items. These charges are in addition to any applicable restocking or administrative fees and may be charged directly to your credit card on file or referred to collections, as outlined in these Terms and Conditions. PLI will determine all disposal fees at its sole discretion.

g.      DISPOSAL FEE – Partial Lot Abandonment: If you pick up only part of your won items and leave behind any portion of your lot—whether by refusal, oversight, or disinterest—PLI reserves the right to dispose of the remaining items at your expense. A disposal fee will be charged, with a minimum of $20 if the item is smaller than a pallet, and $100 per pallet or equivalent volume. PLI will determine the total cost at its sole discretion based on the size, weight, and nature of the abandoned materials. PLI will not store or retain any uncollected items beyond the removal deadline, and related fees may be charged to your account or referred to collections.

h.      ADMINISTRATIVE / REINSTATEMENT FEE: If you and PLI mutually agree to reinstate a suspended account, a $50 administrative fee (before tax) will be required prior to reinstatement. Reinstatement is not automatic and remains subject to PLI’s discretion. Any reinstatement does not limit PLI’s right to suspend the account again in the future for any reason permitted under these Terms and Conditions.

i.        HST: Harmonized Sales Tax is applied to all items unless explicitly stated otherwise in the item description. This tax is calculated on both the bid price and the buyer’s premium. If an item is identified as tax-exempt in the description, HST will still apply to the buyer’s premium associated with that item. If an item qualifies for a partial or full tax exemption, it is the responsibility of the bidder to retain their invoice and claim the exemption through their personal income tax filings. PLI does not process or apply tax exemptions at the time of sale. Example: If the winning bid is $100 and the buyer’s premium is 15%, the total before tax is $115. HST (13%) is then applied to $115, resulting in an additional $14.95 in tax. The total amount payable would be $129.95.

j.        FEE MODIFICATIONS: If, at its sole discretion, PLI chooses to reduce, delay, or waive any fee or charge, such action shall be considered a one-time exception and shall not be construed as a modification of the standard fee structure, a precedent for future auctions, or a waiver of any other rights under these Terms and Conditions. Any such exception does not nullify, alter, or limit the enforceability of any other clause contained herein.

15.  Shipping and Delivery

a.       PLI does not ship. There are no exceptions that will be made, for any reason, regardless of what the item is.

b.      PLI will not issue bill of lading slips or any other documentation, other than an Invoice with any order.

16.  Source of Goods, Contact Restrictions, and Buyer Liability

a.       The majority of items offered for sale by PLI originate from lost or unclaimed freight, abandoned property, insurance salvage, or warehouse lien enforcement. These items are legally possessed and resold under the authority of the original shipping company, freight carrier, or warehousing entity, who hold title to the goods as a result of insurance payouts, contract enforcement, lien rights, or terms and conditions accepted by the original parties.

b.      By participating in any auction, buyers agree that they will not contact any prior owner, shipper, consignee, consignor, manufacturer, or other related party for any reason whatsoever. This includes, but is not limited to, inquiries related to the item’s origin, ownership, use, history, condition, or prior possession. Such contact is strictly prohibited and constitutes a material breach of these Terms & Conditions.

c.       All property is sold free and clear of known encumbrances, to the best of PLI’s knowledge. Buyers accept each item in its present legal status.

d.      In the event a buyer violates this provision, they shall be held fully responsible for any resulting damages, claims, or liabilities, including but not limited to lost revenue, reputational harm, interference with business relationships, or legal claims made by third parties. The buyer further agrees to indemnify, defend, and hold harmless PLI, its affiliates, consignors, agents, and partners from any such damages arising from a breach of this clause.

17.  Returns

a.       ALL ITEMS SOLD AS IS: By participating in PLI auctions and purchasing items, all buyers expressly acknowledge and agree to the following returns and warranties policies. All items are sold strictly AS IS, regardless of any written descriptions, spoken statements, or photographic representations. No guarantees are made regarding the accuracy or completeness of the listing information, and buyers assume all risk related to the purchase of any item.

b.      RETURN ELIGIBILITY: Returns may be considered only at the sole discretion of PLI, and only in cases involving a clear and material error in the listing. To be eligible for return consideration, buyers must send an email to online@403auction.com within 24 hours of picking the item up. If PLI authorizes the return the item must be returned within 24 hours of the response from PLI. Returns will not be reviewed or accepted beyond this timeframe under any circumstances.

c.       ELECTRONICS: For electronics, buyers are solely responsible for thoroughly testing all items on-site prior to leaving the pickup location. Once any electronic item has been removed from the premises, it becomes final sale, and no returns or refunds will be permitted for any reason.

d.      NO WARRANTIES: There are no warranties, expressed or implied, associated with any item sold through auction. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, and title. PLI is not an authorized dealer of any brand, and therefore manufacturer warranties do not apply. No returns will be accepted due to the absence or inapplicability of any warranty.

e.       24 HOURS: Returns will only be approved within 24 hours of item pickup, and no exceptions will be made. This policy applies uniformly to all items, regardless of size, condition, packaging, classification (e.g., new or sealed), or intended use (including gifts). Covered items include, but are not limited to, electronics, phones, furniture, laptops, appliances, tools, and accessories. If a return request is approved, and the item is not returned during the original pickup hours, the return must be made by appointment only. Items returned during active pickup hours will be refunded to the original payment method; however, items returned outside of posted pickup hours will receive auction credit only, as no cashier will be available on-site.

f.        CHECK ITEMS IN THE PARKING LOT: Buyers who do not wish to receive auction credit are required to inspect items before leaving the parking lot. Those who live a long distance from the pickup location or are unable to return within the 24-hour timeframe are advised to inspect items thoroughly during pickup to avoid additional travel. For offsite pickups or returns outside regular hours, PLI may direct that the item be returned to its primary facility at 80 Westcreek Boulevard, depending on the nature of the approval and return logistics.

g.      RETURN LIMITATION OF LIABILITY: All costs and responsibilities associated with returning approved items are the sole responsibility of the buyer, including transportation, handling, and scheduling. No shipping costs, time, or effort will be compensated by PLI.

h.      PREVIEW RECOMMENDED: Preview is strongly recommended prior to bidding, and is encouraged to ensure buyer satisfaction. Failure to preview does not exempt the buyer from these terms. These policies apply to all customers, all items, and all transactions, regardless of pickup location, time, or buyer circumstance.

18.  Data Breach, Security & Outages

a.       While PLI takes commercially reasonable measures to protect the integrity and security of the Site and user data, no system is immune to unauthorized access, cyberattacks, or data breaches. In the event of a security incident, including but not limited to hacking, data loss, or unauthorized disclosure of personal information, PLI will act in accordance with applicable privacy laws and regulations.

b.      PLI shall not be held liable for any loss, damage, or inconvenience arising from such events, including but not limited to the unauthorized use of account information or bidding activity. By using the Site, you acknowledge and accept these risks and agree to maintain the confidentiality of your own login credentials.

c.       In the event of a system or platform outage that affects bidding during any portion of an auction’s closing period, PLI reserves the right, at its sole discretion, to extend, delay or cancel the auction—in whole or in part, including lots that may have already closed—for a period of up to 24 hours. This decision will be based on the nature, timing, and severity of the outage, and is made with the intention of maintaining fairness and integrity in the bidding process.

                                                              i.      Previously closed lots may be reopened and extended if it cannot be reasonably confirmed that they closed prior to the onset of the outage and that all interested bidders had a fair and equal opportunity to place their bids. While such occurrences are extremely rare, this policy is necessary to ensure equity for all bidders and to protect the interests of our consignors.

                                                            ii.      All decisions made by PLI regarding outage-related extensions are final and non-negotiable.

19.  Consumer Protection Law
Where the Consumer Protection Act, or any other consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply.

20.  Limitation of Liability

a.       To the fullest extent permitted by law, you expressly acknowledge and agree that PLI, including its directors, officers, employees, agents, consignors, subsidiaries, affiliates, representatives, and assigns, shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, business interruption, or any other intangible or tangible losses, arising out of or in connection with:

                                                              i.      your access to, use of, or inability to use the Site, auction platform, or any services provided by PLI;

                                                            ii.      any failure of performance, error, omission, interruption, defect, delay in operation or transmission, virus, or system failure;

                                                          iii.      the cost of procurement of substitute goods or services resulting from any goods, data, or services purchased or obtained through the Site;

                                                          iv.      unauthorized access to or alteration of your transmissions, data, accounts, or listings;

                                                            v.      reliance on any descriptions, appraisals, photographs, or other content provided by PLI or its consignors; or

                                                          vi.      any other matter related to your use of the Site or participation in any auction, sale, pickup, or transaction facilitated by PLI.

b.      All items are sold strictly "as is, where is", with no guarantees or warranties, express or implied. You acknowledge that your use of the site and your participation in any auction is done entirely at your own risk.

c.       Furthermore, the buyer expressly agrees to indemnify, defend, and hold harmless PLI, the seller, the property owner, and their respective officers, employees, agents, assigns, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses, including but not limited to legal fees, directly or indirectly arising out of or related to:

                                                              i.      the buyer’s participation in the auction;

                                                            ii.      their presence on any premises affiliated with PLI or its clients;

                                                          iii.      their removal, transport, use, or possession of any purchased items;

                                                          iv.      any injury, property damage, or loss resulting from any act or omission (including negligence) on the part of PLI or anyone acting on its behalf.

                                                            v.      All bidders must be of legal age and are deemed to have read, understood, and accepted these Terms & Conditions upon registration.

21.  Indemnity
Except where prohibited by law, by using this Site you indemnify and hold harmless Principal Liquidators Inc. and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our Site or your violation of these Terms and Conditions.

22.  Applicable Law and Jurisdiction
These Terms and Conditions are governed by the laws of the Province of Ontario. Subject to the dispute resolution procedures outlined in Section 21, any legal proceedings arising out of or relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Ontario.

23.  Dispute Resolution
Subject to any exceptions specified in these Terms and Conditions, if you and Principal Liquidators Inc. are unable to resolve any dispute through informal discussion, then you and Principal Liquidators Inc. agree to submit the issue first before a non-binding mediator and to an arbitrator in the event that mediation fails. The decision of the arbitrator will be final and binding. Any mediator or arbitrator must be a neutral party acceptable to both you and Principal Liquidators Inc. The costs of any mediation or arbitration will be paid by the unsuccessful party.

a.       Notwithstanding any other provision in these Terms and Conditions, you and Principal Liquidators Inc. agree that you both retain the right to bring an action in small claims court and to bring an action for injunctive relief or intellectual property infringement.

24.  Severability
If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.

25.  Transferability of Terms

All terms, conditions, rights, obligations, disclaimers, and protections outlined in this agreement shall be deemed fully transferable and enforceable by and between Principal Liquidators Inc. (“PLI”) and its affiliated entities, including but not limited to its parent company, subsidiaries, child companies, sister companies, successors, assigns, and legal representatives.

By agreeing to these Terms & Conditions, the buyer acknowledges and agrees that any affiliated or related corporate entity may enforce these terms as if they were a direct party to the original agreement, and that all rights and remedies afforded to PLI under this agreement shall be equally available to such related parties.

26.  Changes
These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave on our Site. We will notify users by email of changes to these Terms and Conditions or post a notice on our Site.

Payment is made at the time of pickup using Visa, Mastercard, debit, or cash. Credit cards must be physically present, and a PIN must be entered—we do not accept credit card payments over the phone, online, or entered manually. We also do not accept e-transfers, certified cheques, money orders, gift cards, or American Express.

We Do Not Ship

403 Auction does not offer shipping under any circumstances—regardless of the size, weight, or type of item. All purchases must be picked up and paid for in person. Exceptions cannot be made to this policy. If you are unable to your items (or have someone pickup on your behalf), you should not bid. This includes if buyers that state they will provide a shipping label.

Pickup Dates

Pickup for this auction is Wednesday October 22nd from 2pm-6pm & Thursday October 23rd from 9am-12pm by appointment only. Appointments can be booked by viewing your invoice in my account. Appointment booking will open at 10am on Tuesday October 21st. Pick up times are not able to be extended for any reason.

Appointments are first come first booked and certain times book quickly so if you want 2PM on Wednesday and it's booked when you try to schedule, you will have to pick another time. You should have several times you are available to pick up in case the time you want is booked. We will not "squeeze" anyone in a booked time because they can only come at that time. If you are only available to pick up at one particular time, you should either not bid or have someone available that can pick up on your behalf.


Non Pickup Fees

Customers who do not pick up during the allotted times will be billed a 25% restocking fee on the full invoice price (or $20, whichever is greater), items will NOT be held, and their account will be suspended. There will be a $25 admin fee to reinstate the account ($75 + the restocking fee if this is not the first missed pick up) Items WILL NOT be available for pick up after the posted times.
